1. Definitions and Interpretation

In these Terms:

• "Founders Fireside Ltd", "we", "us" means Founders Fireside Ltd, the owner and operator of the SnagHub platform.
• "SnagHub" means the SnagHub branded software platform operated by Founders Fireside Ltd.
• "Platform" means the SnagHub web and mobile application.
• "User", "you" means the company or sole trader using the Platform.
• "Authorised Users" means individuals you invite to access the Platform, including employees, contractors, subcontractors, clients, or other third parties.
• "Content" means all data uploaded to the Platform, including project names, addresses, photographs, videos, snag descriptions, notes, files, and reports.
• "Subscription" means the paid plan selected by you.

Headings are for convenience only and do not affect interpretation.

2. Scope and Acceptance

2.1 These Terms govern all access to and use of the Platform.

2.2 By creating an account or using the Platform, you confirm that:

• You are acting in the course of business
• You are not acting as a consumer
• You have authority to bind your organisation

2.3 If you do not agree to these Terms, you must not use the Platform.

3. Nature of the Service

3.1 SnagHub is a software-as-a-service tool for recording, managing, and sharing snagging and defect information.

3.2 SnagHub:

• Does not provide construction, surveying, engineering, or professional advice
• Does not verify workmanship, compliance, or safety
• Does not guarantee outcomes, defect resolution, or accuracy of Content

3.3 You remain solely responsible for how the Platform and any outputs are used or relied upon.

4. Accounts and Security

4.1 You must provide accurate and up-to-date information when registering.

4.2 You are responsible for:

• Maintaining the confidentiality of login credentials
• All activity carried out under your account
• All actions of Authorised Users

4.3 You must notify us immediately of any unauthorised access or security breach.

5. Authorised Users and Third-Party Access

5.1 You may invite Authorised Users to access the Platform.

5.2 You are solely responsible for:

• Deciding who is invited
• Determining what Content they may access
• Ensuring they are entitled to receive such access

5.3 Granting access must not breach confidentiality obligations, data protection law, or contractual or property rights.

5.4 SnagHub does not verify the identity, authority, or role of Authorised Users and accepts no liability for access granted by you.

6. User Content, Photos and Permissions

6.1 Ownership

You retain all rights in your Content.

6.2 Licence

You grant SnagHub a non-exclusive, limited licence to host, store, process, and display Content solely to operate the Platform.

6.3 Lawful Capture and Permissions

You warrant and represent that:

• You have obtained all necessary permissions, consents, and authorisations to capture and upload Content
• This includes photographs or videos taken inside buildings, on private premises, or on active construction sites
• Uploading Content does not breach privacy rights, data protection law, property rights, or confidentiality obligations

SnagHub does not verify permissions and accepts no responsibility for unlawful or unauthorised Content.

6.4 Prohibited Image Content – Individuals

Photographs or videos uploaded to the Platform must not intentionally include identifiable individuals.

You confirm that:

• Images are limited to buildings, fixtures, fittings, and snagging items
• Faces, bodies, or other identifying features of people are not intentionally captured

Where individuals are incidentally included, you confirm that such inclusion is lawful and that any required consent has been obtained.

7. Sharing, Exporting and Emailing Content

7.1 The Platform allows you to export Content, generate PDF reports, and share Content via email.

7.2 Exported or shared Content may include building addresses, interior photographs, snag descriptions, and notes.

7.3 You are solely responsible for ensuring that:

• You are authorised to share the Content
• Recipients are entitled to receive it
• Sharing complies with legal, contractual, and confidentiality obligations

7.4 SnagHub is not responsible for use, distribution, or consequences arising after Content is exported or shared.

8. Acceptable Use

You must not:

• Upload unlawful, misleading, or infringing Content
• Misuse or disrupt the Platform
• Attempt unauthorised access or reverse engineering

We may suspend or terminate accounts for breach.

9. Fair Usage Policy

9.1 The Platform is provided on a fair usage basis.

9.2 Fair usage includes reasonable volumes of:

• Projects
• Photographs and files
• PDF generation and email sharing

9.3 We may apply reasonable limits where usage is excessive, abnormal, or impacts platform stability.

9.4 We will use reasonable endeavours to notify you before applying restrictions unless immediate action is required.

10. Subscriptions, Fees and Payment Terms

10.1 All Subscriptions are paid in advance and are exclusive of VAT unless stated otherwise.

10.2 Payments are processed via Stripe. SnagHub does not store card details.

10.3 Subscriptions renew automatically:

• Monthly subscriptions renew monthly
• Annual subscriptions renew for successive 12-month terms unless cancelled with at least 30 days' written notice before renewal

10.4 Cancellation:

• Monthly plans: effective at the end of the current billing period
• Annual plans: effective at the end of the current term
• No refunds for unused time unless required by law

10.5 Failed payments may result in immediate suspension. Continued non-payment may result in termination.

11. Availability and Changes

11.1 The Platform is provided "as available".

11.2 We may modify features, perform maintenance, or change functionality without notice.

12. Data Protection

SnagHub is the data controller for account and billing data and the data processor for project data.

You are responsible for ensuring project data is collected and shared lawfully.

13. Confidentiality

Each party shall keep confidential any non-public information obtained through use of the Platform.

This obligation survives termination.

14. Intellectual Property

All intellectual property in the Platform (excluding User Content) belongs to SnagHub.

No rights are granted except as expressly stated.

15. Disclaimer of Warranties

The Platform is provided "as is" and "as available".

All warranties, including fitness for purpose and accuracy, are excluded to the fullest extent permitted by law.

16. Limitation of Liability

16.1 Nothing excludes liability for death or personal injury caused by negligence or for fraud.

16.2 SnagHub is not liable for indirect or consequential loss, including loss of profit, business, data, or goodwill.

16.3 SnagHub's total aggregate liability shall not exceed the lower of:

• Fees paid by you in the 12 months preceding the claim, or
• £1,000

16.4 SnagHub is not liable for construction defects, remedial costs, regulatory enforcement, or professional negligence claims.

17. Indemnity

You shall indemnify SnagHub against all claims arising from:

• Uploaded Content
• Granting access to Authorised Users
• Exporting or sharing Content
• Lack of permissions or consents

18. Suspension and Termination

We may suspend or terminate access for breach, non-payment, or legal requirements.

Upon termination, access ceases and Content may be deleted after a reasonable period.

19. Assignment

You may not assign these Terms without consent. We may assign as part of a sale or restructure.

20. Entire Agreement

These Terms constitute the entire agreement between the parties.

21. Governing Law and Jurisdiction

These Terms are governed by the laws of England and Wales.

The courts of England and Wales have exclusive jurisdiction.
